P3 Bulletin reports a $2.9bn Harrison Street energy acquisition with no target, seller or closing date

The price is the only disclosed term in a file otherwise made up of tenders, advisory appointments and feasibility studies.

P3 Bulletin reports that Harrison Street has agreed a $2.9 billion acquisition of an energy firm, the largest dollar figure in the file. The item names no target, no seller, no closing date and no financing, and nothing in the coverage says whether the buyer is underwriting operating generation, a development pipeline or something else; only the number is disclosed, and only by P3 Bulletin.

The file around it is a step short of money. Contra Costa Transit Authority is exploring P3s for mobility hubs, consultants are sought for a Canadian waterfront development and a Flagstaff investment roadmap, Jamaica has tendered an agricultural logistics hub, Colombia has a concession planned for an airport, and a contractor is on board for a Peru healthcare P3. The file's other capital event is the World Bank's $50 million backing for the Paraíba sanitation P3, the one this publication flagged as the only commitment in P3 Bulletin's file in late September. The hiring lines say more about capital formation than the deal lines do: Equitix has appointed a new capital formation lead, and a former Metrolinx chief is joining the Alto project.

A price with nothing attached

Two dollar figures in a file that size repeats a pattern this publication has followed since August, when state DOTs, senators and fund managers staffed for a pipeline the federal government has not yet paid for and the visible output has been mandates, tenders and enabling clauses. The transit pipeline specifically has run on consultants rather than capital, and the day's one large transaction is a private acquisition whose file does not say what was bought.

This publication has argued that an unpriced energy announcement, a milestone with no counterparty, is a financing event rather than an infrastructure asset. The Harrison Street item is the inverse: a price with no asset attached, which tells an underwriter no more than a milestone does about where the cash flows sit, what the offtake looks like, or which queue position the buyer just acquired. If the target, the seller and the funding stack surface in the coming weeks, $2.9 billion becomes a data point about what energy assets are clearing for. If the buyer turns out to have bought dispatchable capacity or a place in line, it becomes a larger one.
