Nscale hires Meta's Justin Osofsky as chief operating officer ahead of Nasdaq listing

Its IPO prospectus is public; the offering is said to target as much as $3 billion, following a $3.36 billion pre-IPO round.

Nscale has hired Meta's Justin Osofsky as chief operating officer, reporting directly to founder and CEO Josh Payne, a move the AI cloud company made ahead of the Nasdaq listing it is preparing. Osofsky spent 18 years at Meta, most recently as chief partnerships officer, and in a LinkedIn post said a line in Payne's founder letter about discipline remaining central to how the company scales had stuck with him, framing the decision as becoming a partner to Payne as Nscale moves into its next phase. The job he is leaving is a commercial one (partnerships at a company whose business runs on them), and whether that maps onto operations at a compute provider is the question the appointment leaves open.

Payne's own statement points the same direction. Nscale describes itself as scaling a vertically integrated platform globally to serve high customer demand, and Payne calls building the systems and processes that scale, and that hold operational excellence, of vital importance — language that frames the next constraint as organizational rather than technical.

The same announcement added Amy Banse, who also sits on the boards of Adobe, Lennar Corporation and On Holding, to the board — a director with public-company exposure arriving alongside an operating hire from a company of Meta's scale suggests governance is being assembled with the listing in mind.

The capital sequence is further along than the personnel news implies: Nscale has published its IPO prospectus and is looking to list on Nasdaq, with the offering reported to target as much as $3 billion. It recently secured $3.36 billion in pre-IPO funding, putting the private round above the top of the stated public target.

That pattern has a recent precedent: Lambda raised $3 billion in equity and debt before its own IPO, with the contracted backlog that would justify the price left out of the reporting available at the time. The account of Nscale's hire gives no revenue, booked capacity or customer names either.

A COO who spent his career on partnerships will be measured by the contracts Nscale can point to; the prospectus is already public, and whatever it discloses about booked capacity is what the offer will be priced against.
