Bitari's $30m IPO is a power-queue bet

Texas bitcoin host files to raise a modest $30m against a 255MW Xcel interconnection request that still hinges on a Southwest Power Pool load study.

Bitari's $30 million Nasdaq filing is a wager that a place in Xcel Energy's 255MW interconnection queue is worth more than the three 20MW bitcoin mining sites that keep the company going. The S-1 proposes 4,285,715 shares at $7 each on the Nasdaq Global Market under ticker BIAI, with US Tiger Securities as representative of the underwriters and an option for 642,857 additional shares; full exercise lifts gross proceeds to $34.5 million and leaves Bitari an estimated $31.16 million after expenses, or $26.95 million if the option is not exercised.

That capital is not earmarked for new mining hardware: roughly 40 percent would go to acquisitions and investments in blockchain-infrastructure, AI, and energy-technology companies, a plan the filing tempers by saying no target has been identified and no negotiations entered; expansion and brand development take 30 percent, new cryptomining operations and infrastructure 15 percent, HPC and energy-efficiency research 10 percent, and working capital the rest.

What currently supports the company is a string of recent, modest sites: Wheeler, Texas, completed in 2023 with 5,838 miners; Dumas, Texas, online since July 2026 with 2,268 machines; and a Marion, Indiana, facility owned by Your Choice Digital Inc. that held 5,300 machines as of the S-1, about 13,400 hosted miners on 60MW of capacity combined.

The filing's weight shifts when it turns to Wheeler, where Bitari is pursuing conversion into an AI data center, has signed a preliminary development agreement with Aleria Technology and Ricloud AI, ordered a 200Gbps fiber connection from FiberLight, and opened an interconnection process with Xcel Energy for up to 255MW of additional power; the cost and delivery date hinge on a Southwest Power Pool load study, with engineering, procurement, and construction contractors still being negotiated.

Public bitcoin-infrastructure deals have recently run far larger. Ionic Digital completed a Nasdaq direct listing in July after securing $400 million before its debut, and Riot Platforms is among the miners pursuing similar data-center conversions, Data Center Dynamics notes. Bitari's $30 million filing is smaller by an order of magnitude, which suggests the offering is selling a place in Xcel's interconnection review rather than a finished AI campus.

The three existing 20MW sites keep the company running while the load study proceeds, but the investor proposition is the 255MW request, which carries no cost figure, no delivery date, and no load-study result. Until the study reports, the $7 share price is a price on patience.
